Last Updated: 26 October 2026

Welcome to Droptrix.

These Terms & Conditions govern your use of the Droptrix website and provide general information about our international commodity supply and trading activities.

By accessing or using our website, you agree to comply with the applicable website provisions of these Terms & Conditions. Product inquiries, commercial offers, purchase orders, and business transactions may be subject to additional written terms and agreements.

Any binding commercial obligations between Droptrix and a buyer will be determined by the applicable accepted order, sales contract, or other agreed transaction documents, together with applicable law.

2. Use of Our Website

The Droptrix website is intended to provide information about our company, products, and international trade activities.

You may use the website for lawful personal, informational, and commercial purposes.

By using the website, you agree not to:

  • Engage in fraudulent, misleading, or unlawful activities.

  • Submit false or inaccurate business or contact information.

  • Attempt unauthorized access to our website, systems, or information.

  • Disrupt website functionality or compromise its security.

  • Introduce malicious software, spam, or harmful content.

  • Reproduce, distribute, or commercially exploit protected website materials without authorization, except where permitted by law.

We reserve the right to restrict access or take appropriate action where reasonably necessary to protect the website, our business, or other users.

3. Product Information and Specifications

Product descriptions, categories, grades, photographs, packaging options, and other information displayed on our website are provided for general reference.

Actual product availability, origin, specifications, grades, packaging, and quantities may vary according to the particular commodity and production arrangements.

Product photographs and illustrations are intended to represent the relevant product unless expressly identified as images of the goods offered in a particular transaction.

Before confirming an order, buyers should carefully review and agree upon all material requirements, including:

  • Product description and origin.

  • Quality grades and specifications.

  • Order quantity and applicable tolerances.

  • Packaging and labeling requirements.

  • Inspection or testing requirements, where applicable.

  • Destination and agreed shipment conditions.

Website content does not constitute a binding commercial offer unless expressly incorporated into an accepted written agreement.

The specifications and conditions confirmed in the applicable sales contract or accepted order documents will govern the transaction, subject to applicable law.

4. Commodity Supply and International Trade

Droptrix operates as a direct commercial supplier of commodities and products to international buyers.

We maintain relationships with production and supply partners to support our supply operations, product availability, and order fulfillment.

Buyers entering into a sales transaction with Droptrix deal directly with Droptrix as their contracting supplier, unless a particular written agreement expressly identifies a different contractual arrangement.

Our commercial activities may include:

  • Supplying agricultural commodities, minerals, metals, and other applicable products.

  • Reviewing buyer requirements and preparing commercial offers.

  • Confirming product specifications, quantities, and packaging.

  • Managing order preparation and coordinating applicable quality procedures.

  • Arranging export-related operations and shipping documentation according to agreed terms.

Each transaction is subject to product availability, regulatory requirements, and the commercial conditions confirmed between the contracting parties.

5. Product Inquiries and Commercial Offers

Buyers may contact Droptrix to discuss product availability, pricing, specifications, quantities, and international shipment requirements.

To help us evaluate an inquiry and prepare an appropriate commercial offer, buyers should provide accurate information, including where relevant:

  • Required commodity or product.

  • Desired grade and specifications.

  • Quantity and packaging preferences.

  • Destination country and port.

  • Preferred delivery schedule.

  • Proposed Incoterms or shipment arrangements.

  • Quality inspection and documentation requirements.

Commercial offers may be subject to product availability, market conditions, transportation costs, currency fluctuations, and other conditions identified in the offer.

An offer remains valid for the period stated in the relevant document. If no validity period is specified, the buyer should obtain confirmation that its terms remain available before proceeding.

Submitting an inquiry or receiving an offer does not automatically constitute a confirmed order.

An order becomes binding according to the agreed acceptance procedure and applicable contractual terms.

6. Orders and Commercial Agreements

Individual transactions may be documented through purchase orders, accepted commercial offers, pro forma invoices, sales contracts, or other written confirmations.

Depending on the transaction, these documents may establish:

  • Product specifications, grade, and origin.

  • Quantity and applicable tolerances.

  • Unit prices, total value, and currency.

  • Payment methods and schedules.

  • Packaging and labeling requirements.

  • Inspection and quality verification arrangements.

  • Delivery terms and shipment responsibilities.

  • Insurance, documentation, and customs requirements.

  • Applicable remedies, claims procedures, and dispute resolution terms.

Buyers are responsible for reviewing the agreed commercial conditions before confirming an order.

Where an accepted written sales agreement conflicts with these general website Terms & Conditions, the specific transaction agreement will prevail for that transaction to the extent permitted by applicable law.

7. Pricing and Payment Terms

Commodity prices may vary according to product type, quality, market conditions, order quantity, packaging, exchange rates, transportation costs, and other commercial considerations.

Final pricing, currency, payment arrangements, and any additional charges will be specified in the relevant commercial agreement.

Depending on the transaction and agreed conditions, payment arrangements may include:

  • Letters of Credit (L/C).

  • Telegraphic Transfers (T/T).

  • Advance Payments.

  • Other payment arrangements expressly accepted by Droptrix.

All payment methods, amounts, deadlines, and banking details must be confirmed before order execution.

Payments must be made only to the bank account or recipient expressly authorized under the relevant transaction documents.

For security, buyers are encouraged to independently verify any changes to payment instructions through an established and authorized communication channel.

Any refund, deduction, late-payment charge, or cancellation-related payment will be governed by the applicable agreement and law.

8. Product Quality, Samples, and Inspections

At Droptrix, we recognize the importance of clear product specifications and agreed quality expectations in international trade.

Product quality requirements, testing methods, acceptable tolerances, and other relevant conditions should be established before order confirmation.

Depending on the commodity and order requirements, arrangements may be made for:

  • Product samples.

  • Quality inspections.

  • Laboratory testing.

  • Product certificates or supporting documentation.

  • Pre-shipment inspection procedures.

The availability, scope, cost, and responsibility for these arrangements will be confirmed as part of the relevant transaction.

Where samples are provided, their relationship to the final shipment, including any permitted variations, should be agreed in writing.

Any claim involving product shortages, damage, or non-conformity should be submitted in accordance with the relevant contract, agreed inspection procedures, and applicable law.

Nothing in these Terms & Conditions excludes product-related obligations or buyer remedies that cannot lawfully be excluded.

9. Shipping, Delivery, and Export Documentation

Droptrix coordinates international shipment arrangements and applicable export documentation according to the terms agreed for each order.

Depending on the commodity, quantity, destination, and commercial arrangements, shipments may involve full container load (FCL), less than container load (LCL), or other appropriate transportation methods.

Relevant shipment arrangements may include:

  • Port and loading arrangements.

  • Freight and transportation coordination.

  • Export customs procedures.

  • Shipping and commercial documentation.

  • Cargo insurance arrangements, where applicable.

  • Coordination with carriers, logistics providers, and other relevant parties.

The applicable Incoterms rule and its edition, named delivery location, allocation of costs, transfer of risk, and responsibility for export and import procedures should be clearly identified in the sales agreement.

Estimated shipment and delivery schedules may be affected by production conditions, carrier availability, customs procedures, weather, port operations, government restrictions, and other circumstances.

Unless expressly agreed in writing, estimated dates should not be interpreted as unconditional delivery guarantees.

The respective responsibilities of Droptrix and the buyer will be determined by the agreed commercial terms and applicable law.

10. Buyer Responsibilities

Buyers conducting business with Droptrix are expected to provide accurate information and fulfill their agreed contractual responsibilities.

These may include:

  • Providing complete product specifications and order requirements.

  • Reviewing and approving commercial offers and relevant transaction documents.

  • Making payments according to agreed terms.

  • Providing accurate consignee, destination, and shipping information.

  • Obtaining applicable import licenses, approvals, or permits for which the buyer is responsible.

  • Complying with relevant customs, taxation, sanctions, and trade regulations.

  • Arranging inspections or other buyer-responsible procedures where agreed.

  • Communicating material changes or concerns promptly.

Droptrix remains responsible for its own obligations under the applicable contract and law.

Both parties are expected to cooperate in good faith to support the orderly completion of each transaction.

11. Order Changes, Cancellations, and Claims

Requests to modify or cancel an order will be considered according to the stage of fulfillment, existing commitments, and the applicable commercial agreement.

Commodity transactions may involve production arrangements, packaging expenses, transportation bookings, and other costs incurred after order confirmation.

Accordingly, cancellation conditions, refunds, deposits, deductions, and any applicable charges should be established in the relevant transaction documents and must comply with applicable law.

Requests for changes to confirmed specifications, quantities, packaging, destination, or shipment terms may require adjustments to pricing, schedules, or other commercial conditions.

Any disputes or claims relating to product quality, shipment, payment, or non-performance should be communicated promptly and handled according to the agreed contractual procedures and applicable law.

We encourage clear communication and good-faith efforts to resolve commercial concerns.

12. Website Information and Availability

We aim to maintain accurate, current, and relevant information about Droptrix and our commercial activities.

However, product listings, specifications, descriptions, and availability may be updated or modified without prior notice.

Although reasonable efforts are made to maintain the website, we cannot guarantee uninterrupted access, error-free operation, or the continuous availability of all website features.

Website information is provided for general reference and should not replace an accepted commercial offer, agreed product specifications, or a binding sales contract.

Nothing in this section limits legal obligations or remedies that cannot be excluded under applicable law.

13. Intellectual Property

Unless otherwise stated, the Droptrix name, branding, logos, website content, graphics, photographs, layouts, and other original materials are owned by Droptrix or used under appropriate permission.

These materials are protected to the extent provided by applicable intellectual property laws.

  • Other extraordinary circumstances beyond reasonable control.

Where a force majeure event affects contractual performance, the relevant party should notify the other party as reasonably practicable and take appropriate steps to mitigate its impact where feasible.

Any suspension, extension, cancellation, or other consequence will be determined according to the applicable agreement and governing law.

This provision does not automatically excuse obligations that remain enforceable under the relevant contract or law.

16. Limitation of Liability

Droptrix seeks to conduct its commercial activities responsibly and in accordance with agreed contractual obligations.

To the extent permitted by applicable law, Droptrix will not be responsible for indirect or consequential losses arising from website interruptions, unauthorized third-party activities, or circumstances beyond its reasonable control.

Responsibility for product conformity, payment, shipment, delivery, delays, and other transactional matters will be determined by the relevant commercial agreement and applicable law.

Any limitation or exclusion of liability is subject to applicable legal requirements and cannot override liabilities or remedies that cannot lawfully be excluded.

Nothing in these Terms & Conditions removes the obligations Droptrix expressly accepts as the contracting supplier under a valid sales agreement.
